Terms of Service

1. Parties
These Terms of Service govern engagements between Axle Operations Systems, a sole proprietorship operated by Britt Givens (235–55 Klahanie Drive, Port Moody, BC, Canada; brittgivens321@gmail.com), and any client or prospective client ("Client") who contacts, hires, or enters into a contract with Axle Operations Systems.
2. Services
Axle Operations Systems provides custom software development, systems architecture, AI integration, and technical consulting services. Specific deliverables, timelines, and acceptance criteria are defined in a signed Statement of Work (SOW) or contract for each engagement.
3. Pricing and Payment
Engagements are priced on a per-contract basis, scoped to the agreed deliverables. Direct hourly engagements are billed at USD $67 per hour. Payment terms, milestones, and accepted methods are specified in each signed contract. Invoices are due per the schedule agreed upon in the contract unless otherwise stated in writing.
4. How to Engage
Clients initiate engagements by submitting a project inquiry via the contact form on this website or by emailing brittgivens321@gmail.com. Inquiries are reviewed and responded to within 1–2 business days. No work begins until a written contract or SOW is signed by both parties.
5. Intellectual Property
Upon receipt of full payment for an engagement, the Client receives ownership of the agreed deliverables as specified in the signed contract. Axle Operations Systems retains the right to use any tools, frameworks, libraries, or pre-existing code not specifically developed for the Client. Third-party open-source components remain subject to their respective licenses.
6. Confidentiality
Both parties agree to keep confidential any non-public business information shared during an engagement. Confidentiality obligations specific to an engagement are detailed in the signed contract or a separate non-disclosure agreement.
7. Limitation of Liability
Axle Operations Systems shall not be liable for indirect, incidental, or consequential damages arising from any engagement. Total liability under any contract is limited to the fees paid by the Client for the specific engagement giving rise to the claim.
8. Governing Law
These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes will be resolved in the courts of British Columbia.
9. Changes to These Terms
Axle Operations Systems may update these Terms at any time. The current version is always available at this URL. Continued engagement after a change constitutes acceptance of the updated Terms.
